Falcon Advisors is pleased to announce that it has facilitated the management-backed recapitalization of a leading Chicago-based manufacturer of vinyl clad steel and related products used in commercial roofing as well as a wide variety of industrial and consumer products. Seeking to complete a transaction prior to tax rate changes, Falcon was able to prepare a comprehensive information memorandum including financial consolidation of the operating entity with a real-estate entity, contact hundreds of private equity groups, negotiate an LOI and close on the recapitalization in under four months. With its new financial partner, management will be implementing an acquisition plan for expanding its product line.

M&A - Corporate Divestiture (IT Professional Services)
Falcon Advisors is pleased to announce that it has facilitated the asset sale of a 10-year old boutique IT professional services firm to a rapidly growing premier professional services recruiting firm based in a nearby state. The acquisition provides a significant addition to the buyer's presence in a major Midwestern market. The selling target company offers specialized practices that provide entree into high-profile clients in the central Midwest region. The Company provides IT staffing on contract basis, contract for hire or permanent placement to higher profile private and public companies who are likely to have a budget for consulting in areas of software development including: programmers, testers, architects, business analysts, project managers, et al. A significant service offering within IT leadership group is software testing and validation. FA provided advisory services to the shareholders of the Seller in the transaction.

Corporate Finance - Credit Facility (Metal Parts Manufacturing)
Falcon Advisors is pleased to announce that it has facilitated a $5 million senior credit facility for a middle-market metal stamping and fabricating company located in Ohio and serving the heavy truck, automotive and other industrial markets. The multi-tiered facility provides term debt as well as working capital that will permit the company to continue pursuing organic growth plans as well as complete acquisitions. While the company successfully navigated through the economic downturn, its previous lender chose not to renew its credit facility. Falcon created a detailed memorandum highlighting the company's sustainable business strategy, recent strong financial performance, and dedicated management team. Falcon Advisors is pleased to announce that it has facilitated the asset sale of a successful aerospace parts manufacturer to a private equity-backed strategic acquirer. This client company has a broad array of manufacturing capabilities including stamping, forming, machining, laser cutting, laser welding and spot welding. It specializes in making high value-added "intricate" stainless steel assemblies with a particular expertise in manufacturing aircraft landing gear heat shields. By highlighting the company's unique niche, Falcon was able overcome concerns about the company's high customer concentration and limited management bench. FA advised the Seller in his transaction.

M&A - Acquisition (Professional Services - Temporary and Contract Employees)
Falcon Advisors announces the acquisition of a 15-year old temporary staffing firm which specializes in providing long-term "outsourced" work force solutions. The staffing firm targets customers with long-term needs for unskilled or semi-skilled labor that prefer to outsource to retain flexibility and unit labor cost efficiency. The firm had recently added a wholly owned subsidiary which is part of the Homeland Security E-Verify program. This allowed the firm to place temporary employees at firms that require use of government sponsored work authorization verification. This relatively unique facet among temporary staffing firms allows the firm to provide temps to customers with relatively specific verification requirements. FA advised the buyer in this transaction, a well-established independent provider of light industrial and temporary and contract employees to a variety of industrial employers in a major Midwestern market.

M&A - Recapitalization (Financial Services - Consumer Finance Company)
Falcon Advisors is pleased to announce the recapitalization of a regional consumer finance company with more than 70 branches throughout the Southeastern and Southwestern US, by a private equity led syndicate in partnership with the management team at the company. The company was founded in 1987 and specializes in auto and small personal loans to those who might otherwise have limited access to credit through banks and other traditional lenders. The new structure will support the aggressive growth strategy planned by the new owners in this highly profitable niche industry.
